The short answer
A trade licence, incorporation certificate and constitutional documents serve different purposes. The documents and terminology depend on the authority and legal form. Ask for the complete company file and understand what each document proves.
Is a certificate the same as a trade licence?
A licence identifies the authorised business activities. Formation or registration documents establish the entity and its legal particulars. Authorities can use different document names, so do not insist every legal form must receive an identically named Certificate of Incorporation. Dubai’s official setup platform distinguishes licensing pathways. [1]
Before paying, request a deliverables list: licence, registration evidence, constitutional documents, shareholder records, signatory authority and any premises or immigration registrations included in scope. Match the legal name and ownership details across documents.
Which information should you prepare?
Collect shareholder identity records and proposed ownership details. If a shareholder is a company, obtain its formation and authorisation documents and ask which need attestation or translation. Explain the activity and proposed business name clearly enough for the adviser to check the appropriate legal form.
Do not treat a formation certificate as a universal annual-renewal document. Track the actual validity of the licence and other renewable approvals separately. Ask the issuing authority how changes to shareholders, managers or activities are reflected in the company register.
What follows incorporation?
Build a secure document register for banking, tax and future amendments. Banking involves its own identity and beneficial-owner checks, so a certificate alone does not guarantee an account. [2] The former blanket ESR filing instruction has also been removed: ESR no longer applies to financial years ending after 31 December 2022, while historical obligations remain. [3]
