The short answer

Choose a free-zone or mainland structure by mapping your customers, delivery location, activity permissions and staffing needs. A free-zone licence does not automatically authorise every mainland activity, and a free-zone address does not automatically make all income exempt from Corporate Tax.

Start with three real transactions

Write down three transactions you expect to complete: for example, an overseas advisory project, a visit to a Dubai client’s premises, or delivery of physical goods to a UAE buyer. Describe where work occurs, who signs, who invoices and whether goods cross a border. These details expose licensing questions that a headline package price cannot answer.

Ask the licensing authority or adviser how each transaction would work under the proposed licence. Obtain the answer for your activity and emirate, rather than relying on someone else’s company structure.

Customer accessWhere can the licensed activity actually be carried out? Are additional permissions needed?
PremisesIs a desk arrangement enough, or does the activity need a shop, warehouse or approved office?
PeopleDoes the proposed arrangement support the intended headcount and work location?
OwnershipWhat legal form and shareholder documents are required for this exact activity?
Ongoing costCompare renewal, premises and staffing costs as well as incorporation.
TaxAssess the applicable tax regime separately from licensing.

Can a Dubai free-zone company operate outside its zone?

Dubai’s Executive Council Resolution No. 11 of 2025 provides a framework for free-zone establishments to operate outside their zone within Dubai with the necessary DET licence or permit. It is permission-based, not a blanket entitlement. Confirm eligibility, activity restrictions and the appropriate route with the relevant authorities. [1]

Do not generalise the Dubai framework to all UAE emirates or assume it removes sector-specific approvals. If mainland operations are central to your model, compare the permission requirements with establishing a mainland entity from the outset.

Why should tax be a separate decision?

The Ministry of Finance describes the 0% treatment for a Qualifying Free Zone Person as applying to Qualifying Income under the relevant conditions. ‘Free zone’ on the licence alone is not the test. [2] Ask a tax specialist to assess the actual income streams, substance, records and compliance requirements.

A licensing adviser should explain where you can operate; a tax adviser should explain the treatment of the resulting income. Keeping those questions separate makes the recommendation easier to verify.

Questions to send before paying

  • Which activity codes match my three example transactions?
  • What additional permissions would mainland operations need?
  • Which premises and staff arrangements does this package support?
  • What would change if I add goods trading or another activity next year?
  • What are the second-year costs, and what tax assumptions are being made?

Questions worth answering

Is one route always cheaper?

No universal comparison is meaningful without the same activity, premises, staff and visa scope. Compare the full operating cost rather than the advertised licence price.

Can I assume a free-zone company pays no Corporate Tax?

No. The qualifying free-zone regime is conditional. Have the actual income and compliance position assessed rather than relying on the address alone.
