The short answer
A franchise agreement and the licence to operate the local business are separate matters. Check activity permissions, premises, brand rights and the proposed contract before paying a franchise fee or committing to a location. The agreement alone does not authorise local operations.
Which permissions need separate attention?
Identify the activity that the UAE business will perform and the appropriate authority, legal form and premises approvals. Dubai’s setup platform distinguishes the licensing pathways. [1] A restaurant, retail operation and professional service can have different requirements even when each uses a franchise model.
Confirm brand ownership and the rights being granted. Trademark registration is a separate Ministry of Economy and Tourism service. [2] Ask who controls the UAE rights, whether the agreement covers the intended activity and territory, and how rights are protected if the relationship ends.
Which commercial questions belong before signature?
Request the proposed fee structure, recurring royalties, marketing contributions, supply obligations and fit-out requirements. Review operating restrictions, performance targets, training, support and renewal terms. Test the unit economics against realistic sales and rent assumptions rather than promised market returns.
Have the agreement assessed for the actual structure, including any relevant agency or sector issues. This guide does not state that every UAE franchise has the same disclosure, ownership or registration treatment. Resolve territory, exclusivity, termination and dispute provisions before committing to a long lease.
What should the launch plan connect?
Coordinate licensing, premises approvals, recruitment, payroll, inventory and accounting with the franchise requirements. Confirm the tax treatment separately from the brand arrangement. [3] Keep responsibilities and dependencies in a written launch plan so neither party assumes the other has obtained a required approval.
